Terms of service
These terms (“Terms”) are an agreement between Pixel Port LLC, a Florida limited liability company, 7901 4th St N, Ste 300, St. Petersburg, FL 33702, United States (“Concierge”, “we”, “us”) and the business that signs up for or uses Concierge (“you”, the “Customer”). They cover the website, the dashboard, the API, the MCP server, the SDKs, the email bridge and everything else we provide (together, the “Service”).
By creating an account, clicking to accept, or using the Service you agree to these Terms. If you accept on behalf of a company, you confirm you have authority to bind it, and “you” means that company. If you do not have that authority, or do not agree, do not use the Service.
Please read section 11. It requires most disputes to be resolved by binding individual arbitration, not in court, and waives class actions and jury trials. You can opt out within 30 days, as explained there.
1. Who can use it
Section titled “1. Who can use it”Concierge is a tool for businesses and developers. By using it you confirm that:
- you are at least 18 and have the legal capacity to enter into contracts;
- you use the Service only for your trade, business or profession, and not as a consumer for personal, family or household purposes. If you are an individual developer, you act as a sole trader or sole proprietor. Laws that protect only consumers do not apply to this agreement;
- you are not barred from using the Service under the laws of the United States or any other country that applies to you, and you are not on a government sanctions or denied party list.
You must give us accurate account and billing details and keep them current.
2. Your account
Section titled “2. Your account”You are responsible for everything done under your account. Keep passwords, API keys, identity secrets, store credentials and push credentials safe and tell us at [email protected] right away if you think they leaked. Owners and admins of an organization control its members and data. We may rely on any instruction that comes from your account as authorized by you.
Your actions. Any action taken through your account, credentials, integrations or AI agents is your action. That includes teammates you invite, API keys, OAuth grants, MCP connections, scripts and AI coding agents you connect, offers, discounts, refund decisions and automations you turn on, tools you define for the AI, and email sent in your app’s name through the Service. You authorize us to use the store and integration credentials you give us (for example Apple, Google or RevenueCat) to carry out what you configure. Automated features and agents can make mistakes, including sending messages, changing settings or deleting data; you choose whether to turn them on and you are responsible for supervising them. Revenue and retention figures we show are estimates.
Email. You are responsible for the content of email sent through the Service in your name, for having the right to email the recipients, for forwarding to us only mail you are allowed to forward, and for complying with email laws such as CAN-SPAM.
Third parties. We are not responsible for third party services, including Apple, Google, RevenueCat, Anthropic, Stripe, Resend, Cloudflare, our hosting providers and any integration you connect, or for their outages, errors, security incidents, decisions or changes. Your use of a third party service is governed by your agreement with that provider.
3. Billing
Section titled “3. Billing”No free plan, no trial. Before you pay you can sign up, add apps, write help articles, follow the install steps and send test messages from up to 3 of your own devices. AI features and real end users start when you subscribe.
Pro costs US$49 per month per organization, with unlimited apps and seats and 1,000 AI replies per month included. When you reach the included AI replies, AI replies pause until your next billing month. We never charge overage without your separate agreement. Scale is priced on request; its terms are agreed in a separate written order, which takes precedence over these Terms where they conflict.
Founder price. The first 50 organizations to start a paid Pro subscription get Pro at US$19 per month instead (the “Founder price”). The price shown at checkout is the price you get. The Founder price is locked for as long as your subscription stays active without interruption. If you cancel, or your subscription ends for any other reason, the lock ends, and if you subscribe again later you pay the price then offered to new subscribers. It covers the same Pro plan, belongs to the organization and cannot be transferred. A spot counts once its first payment succeeds and is not released if you cancel. We may end the Founder program for new subscribers at any time.
Automatic renewal. Your subscription is billed monthly in advance through Stripe and renews automatically every month at the then current price until you cancel. By subscribing you authorize us (through Stripe) to charge your payment method each month.
Cancel any time, online, in the dashboard billing portal (Billing, Manage billing). Cancellation takes effect at the end of the month you already paid for; you keep Pro until then and are not charged again.
Taxes. Prices exclude taxes. You pay any sales tax, VAT, GST or similar tax that applies, except taxes on our income.
Price changes. We will tell you at least 30 days before a price change takes effect. It applies from your next renewal after the notice period. If you do not agree, cancel before it takes effect. Price changes do not apply to a Founder price while its lock lasts.
Failed payments. If a payment fails, we may retry it and may notify you. If it stays unpaid, we may downgrade the organization to setup mode (no AI, no real end users) or suspend it until it is paid.
Billing disputes. If you think a charge is wrong, email [email protected] within 60 days of the charge and we may review it. Please contact us before filing a chargeback; we may suspend an account while a chargeback is open.
No refunds. Fees for a paid period are not refundable, including when you cancel mid month, use the Service less than you expected, are unhappy with AI output, or we change the Service, suspend you or end these Terms. The only exceptions are refunds the law requires, the refund in section 5.3 of the DPA (when you end the agreement because you object to a new subprocessor), or a refund we choose to make in writing. Any refund is your sole and exclusive remedy for the matter it covers.
4. Your data
Section titled “4. Your data”You own your data. “Customer Data” means everything you or your end users put into the Service: messages, emails, photos and other attachments, end user profiles, device data, purchase and subscription data, knowledge docs, imported conversations and settings. You give us a license to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service, and as you instruct.
We are your processor. For personal data of your end users you are the controller, we are your processor, and the Data processing agreement (“DPA”) is part of these Terms. You decide what data goes into the Service and why, and you are responsible for:
- having a privacy policy for your app that tells your users about in app support, that their messages and the data listed in our docs go to Concierge, and that replies may be written by AI;
- having a lawful basis (and any consents) for the data you send, including metadata, breadcrumbs, purchase data and imported conversations;
- your app store privacy labels and data safety forms;
- answering your end users’ privacy requests. We provide tools to help you respond to end user requests.
Data you choose to send. Do not send us data you do not need. Do not send payment card numbers, government ID numbers, passwords, or health, biometric, financial account or other special category or sensitive data unless your use requires it and you have a lawful basis for it. The Service is not built for regulated data such as protected health information under HIPAA or cardholder data under PCI DSS, and you must not use it for that. End users may type anything into a chat; you are responsible for what your app asks them to share. We have no duty to review Customer Data, and apart from our duties under the DPA we are not responsible for its content or for data you or your end users choose to send.
Imports. When you import conversations or help content from another tool, you confirm you have the right to export it from there and bring it here, including under that tool’s terms and your privacy notices.
Backups and your own copies. We back up the Service for our own disaster recovery. Backups are not a service to you and we do not promise any particular restore point. Keep your own copies of anything you cannot afford to lose; the export tools exist for that.
Aggregated data. We may use de identified, aggregated data about how the Service is used (for example message counts and latency) to run and improve it. It never identifies you or your end users.
5. AI output is yours to supervise
Section titled “5. AI output is yours to supervise”The Service can write replies and other content with AI models provided by Anthropic, and can draft, translate, summarize, classify and suggest actions. When you use them:
- Outputs can be wrong. AI output can be inaccurate, incomplete, out of date, offensive or inconsistent with your policies. It is not professional advice, and neither you nor your end users should rely on it for legal, medical, financial, tax or safety advice.
- You are in charge of the AI. You decide whether to turn AI features on, which apps and channels they cover, what they may do on their own, and what goes into the knowledge base. You are responsible for configuring, testing, reviewing and supervising them, for keeping your knowledge content accurate, and for everything your support (human or AI) says or does for your users. AI output is treated as content sent by you.
- Disclosure stays on. The Service labels AI replies; you must not remove or hide the label. You may rename the assistant, but you must not present AI replies as written by a human. You are responsible for any other notices about AI or automated decisions that the laws where your users live require.
- No high risk use. You must not use the AI features to make decisions with legal or similarly significant effects on people (for example credit, employment, insurance, housing, medical or legal decisions), in emergency or safety critical settings, for any practice prohibited under the EU AI Act, or in ways that break the Anthropic Usage Policy, which applies to your use of the AI features.
- No training on your data. We do not use Customer Data to train AI models, and Anthropic does not either under its commercial terms.
6. Acceptable use
Section titled “6. Acceptable use”You must not, and must not let anyone else:
- break the law, or use the Service for fraud, phishing, scams, spam or unsolicited marketing;
- send or store content that is illegal, infringes someone’s rights, sexually exploits children, harasses or threatens people, or promotes violence;
- upload malware, or attack, probe or overload the Service, including load testing, vulnerability scanning or penetration testing without our written permission (report security issues to [email protected] instead);
- get around rate limits, usage limits, plan limits, device attestation or security controls, or access another organization’s data;
- reverse engineer the Service or the SDKs except as the law allows despite this restriction, or use the Service to build a competing product;
- resell or sublicense the Service, or share one subscription between unrelated businesses;
- use the Service in apps directed to children under 13 (or the higher age of digital consent where your users live) without first agreeing written terms with us;
- use the Service in breach of the rules of the App Store, Google Play or any other platform your app is distributed on, or of store pricing and consumer laws when you send offers;
- use the AI features in breach of section 5.
7. We can change or stop anything
Section titled “7. We can change or stop anything”Changes. We may change or discontinue features at any time. If you don’t like a change, your remedy is to cancel. Features marked beta, preview or experimental may change or disappear at any time.
Suspension. We may suspend all or part of your access without notice and without liability if we believe: (a) your use breaks section 5 or 6 or the law; (b) your use creates a security risk or could harm the Service, other customers, end users or third parties; (c) your account is compromised; (d) fees are overdue or a chargeback is open; or (e) the law, a court, a regulator or an upstream provider requires it. Suspension does not stop fees for the paid period.
Termination. These Terms last while you have an account. You can close your account or delete your organization at any time in the dashboard. We can end these Terms for any reason with 30 days notice, or immediately if you materially breach them and do not fix it within 10 days of notice (or at once for a breach of section 6 that cannot be fixed, or for non payment).
Your data at the end. You are responsible for exporting your data before termination; we may delete it immediately after, subject only to section 9 of the DPA. We are not liable for deleting Customer Data after termination. Sections 2, 3 (no refunds), 4 (data you choose to send, backups and aggregated data), 5 (outputs can be wrong) and 7 to 12 survive, along with any fees you still owe.
8. As is
Section titled “8. As is”We provide the Service as is. We make no availability commitment, and no uptime, response time or support level, unless a Scale order says otherwise. Nothing on our website, in our docs or in support messages (including answers from our own AI agent) is a warranty or changes these Terms.
THE SERVICE, THE SDKS, AI OUTPUT AND EVERYTHING ELSE WE PROVIDE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE, THAT DATA WILL NOT BE LOST, THAT AI OUTPUT OR AUTOMATED ACTIONS WILL BE ACCURATE OR APPROPRIATE, THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR WORK WITH ANY THIRD PARTY SERVICE, OR THAT IT WILL PRODUCE ANY REVENUE, RETENTION OR OTHER RESULT.
9. Liability cap
Section titled “9. Liability cap”TO THE FULLEST EXTENT THE LAW ALLOWS:
(a) NEITHER SIDE IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, SUBSCRIBERS, GOODWILL, BUSINESS OPPORTUNITY OR DATA, FOR ANY CORRUPTION OF, UNAUTHORIZED ACCESS TO, OR DELETION OF CUSTOMER DATA, OR FOR COSTS OF SUBSTITUTE SERVICES OR BUSINESS INTERRUPTION, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY OR OTHERWISE), EVEN IF TOLD THEY WERE POSSIBLE.
(b) THE TOTAL AGGREGATE LIABILITY OF PIXEL PORT LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE, THE SDKS, THESE TERMS, THE DPA AND ANY SCALE ORDER, TOGETHER, IS LIMITED TO THE GREATER OF (i) THE FEES YOU PAID US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE FIRST CLAIM AROSE, AND (ii) US$50. YOUR TOTAL LIABILITY TO US IS LIMITED IN THE SAME WAY, EXCEPT AS SET OUT IN (c).
(c) The limits in (a) and (b) on your liability do not apply to fees you owe, your indemnity obligations, your breach of section 5 or 6, or your infringement or misuse of our intellectual property. No limit in this section applies to liability that cannot be limited by law, such as liability for fraud, or, where the governing law does not allow it to be limited, for gross negligence, willful misconduct or death or personal injury caused by negligence.
(d) These limits apply even if a limited remedy fails of its essential purpose. Several claims do not raise the cap. The fees reflect this allocation of risk, which is an essential part of the bargain; without it we would not offer the Service at this price. Our members, managers and employees may enforce this section, and no claim may be brought against them personally.
(e) Time limit. To the fullest extent the law allows, any claim arising out of or related to these Terms or the Service must be brought within one year after it arose, in arbitration under section 11 or, where section 11 allows, in court. A claim not brought within that time is permanently barred. Sending the notice in section 11(a) pauses this period for the 30 days that section allows.
10. Indemnity by you
Section titled “10. Indemnity by you”You will defend, indemnify and hold harmless Pixel Port LLC and its members, managers, employees and contractors from and against any third party claim, regulatory investigation or proceeding, and all resulting losses, damages, fines, penalties, settlements, costs and reasonable attorneys’ fees, arising out of or related to:
- your apps, websites, products and services, and your relationship with your end users;
- Customer Data, your knowledge base and imported content, including any claim that it infringes someone’s rights or was collected or shared without a lawful basis or the required notices and consents;
- AI output and automated actions you turned on, and anything your support (human or AI) says or does for your users;
- offers, discounts, comps, codes, plan changes and refund decisions you configure or approve, and their effect on your users, revenue or store accounts;
- emails sent through the Service in your name;
- actions taken through your account, credentials, integrations or AI agents;
- your breach of these Terms, the DPA, the SDK license, platform or app store rules, or the law (including privacy, consumer protection, marketing and AI laws).
We will give you prompt written notice of the claim (a delay only matters to the extent it causes you harm), reasonable help at your cost, and control of the defense and settlement. You may not settle in a way that admits fault for, or imposes obligations on, us without our consent. We may join with our own counsel at our own cost.
11. Disputes: arbitration, class action and jury waiver
Section titled “11. Disputes: arbitration, class action and jury waiver”PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS HOW DISPUTES ARE RESOLVED.
(a) Talk to us first. Before starting arbitration or a lawsuit, the side with a claim must send a written notice describing it and the relief sought (to [email protected] for us, to the account owner’s email for you). Both sides will try in good faith to resolve it for 30 days.
(b) Binding individual arbitration. Any dispute, claim or controversy arising out of or related to these Terms, the DPA, the SDK license or the Service, including whether it must be arbitrated, will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in force, before a single arbitrator. The arbitration will take place in Pinellas County, Florida, or by video if both sides agree, and will be conducted in English. The Federal Arbitration Act governs this section. The arbitrator may award only individual relief, must follow these Terms (including section 9), and judgment on the award may be entered in any court with jurisdiction. Fees are paid as the AAA rules provide. Proceedings and awards are confidential except as needed to enforce an award or as the law requires.
(c) Exceptions. Either side may instead (i) bring an individual claim in small claims court in Pinellas County, Florida, if it qualifies; (ii) go to court to collect unpaid fees; and (iii) seek an injunction or other equitable relief in court to protect its intellectual property, confidential information or the security of the Service, or to stop a breach of section 6.
(d) CLASS ACTION WAIVER. EACH SIDE MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of different customers. If many similar claims are filed, the AAA rules for multiple or mass case filings apply and the cases may be handled in batches. If this waiver is found unenforceable for a claim, that claim (and only that claim) goes to court under (f), never to class arbitration; a court, not an arbitrator, decides that question.
(e) JURY TRIAL WAIVER. TO THE FULLEST EXTENT THE LAW ALLOWS, EACH SIDE KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY LAWSUIT ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
(f) Courts. Any claim that is not arbitrated (because of an exception, an opt out, or a ruling) must be brought only in the state courts located in Pinellas County, Florida, or the United States District Court for the Middle District of Florida, and both sides consent to their personal jurisdiction and venue and waive any objection that the forum is inconvenient. Sections (d) and (e) still apply in court.
(g) 30 day opt out. You may opt out of arbitration under (b) by emailing [email protected] within 30 days after you first accept these Terms, from your account owner’s email, with your organization name and the words “arbitration opt out”. Opting out does not affect any other part of these Terms. If we change this section, the change does not apply to a dispute that either side had already notified, and you may opt out of the changed version within 30 days of the change.
12. General
Section titled “12. General”- The SDKs and our IP: the SDKs are licensed under the SDK license. We own the Service, the SDKs and everything we build, including improvements. If you send us feedback, we may use it without obligation to you. The command line tool
@conciergesdk/cliis open source under the MIT license. - Confidentiality: each side keeps the other’s non public information confidential, uses it only for this agreement, and shares it only with people who need it and are bound by similar duties. This does not cover information that is public, already known, independently developed or rightfully received from someone else, or disclosures the law requires (with notice where lawful).
- Governing law: these Terms, the DPA (except the SCCs, which follow their own governing law) and the SDK license are governed by the laws of the State of Florida, United States and applicable United States federal law, without regard to conflict of laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
- Changes to these Terms: we may update these Terms. We will post the new version here and email account owners at least 30 days before material changes take effect. Continuing to use the Service after that means you accept them; if you do not, cancel before they take effect. Changes that law, a court or a provider requires, or that only affect new features, can take effect sooner.
- Notices: we send notices to the account owner’s email, and they count as received when sent unless we get a bounce. Keep that address current. Send notices to us at [email protected]; they count as received when we confirm receipt. Notices may be electronic, and you agree that electronic acceptance and records are as binding as signed paper ones.
- Copyright complaints: if you think content hosted on the Service infringes your copyright, email [email protected] with the details required by the DMCA (17 U.S.C. 512(c)(3)). We remove infringing content we are told about and close the accounts of repeat infringers.
- Assignment: you may not assign or transfer these Terms without our written consent, except to a successor of your whole business that agrees to them in writing. We may assign them to an affiliate or to a successor in a merger, acquisition or sale of assets. Any other attempted assignment is void.
- Force majeure: neither side is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, riots, government action, labor disputes, power, internet or telecom failures, cyberattacks, and outages or changes at hosting, AI, email, payment or app store providers. This does not excuse paying fees.
- Entire agreement and order of precedence: these Terms, the DPA, the SDK license and any Scale order are the whole agreement and replace earlier agreements and statements on the same subject. Neither side relies on any promise not written in them. If they conflict, the Scale order wins, then the DPA for matters about personal data, then these Terms, then the SDK license. Terms in your purchase orders or vendor forms do not apply, even if we accept or sign them.
- Severability and no waiver: if a provision is unenforceable, it is enforced to the maximum extent allowed and the rest stays in effect. Not enforcing a right is not a waiver.
- Relationship: we are independent contractors. Nothing creates a partnership, joint venture, agency or employment relationship, except that you appoint us to act for you with Apple, Google, RevenueCat and other services as described in section 2. There are no third party beneficiaries, except the people named in sections 9 and 10.
- Export, sanctions and anti corruption: you will not use the Service in breach of export control or sanctions laws, or from a sanctioned country or region, and you will not offer or accept bribes in connection with this agreement.
- US government use: the Service and SDKs are commercial computer software and commercial services, provided to US government users only with the rights in these Terms.
- Interpretation: “including” means “including without limitation”. Headings are for convenience only. These Terms are written in English, which controls over any translation.
